hello, hope someone can help with experience....

we are a small family business that got now in contact with a distributor (to retail). We are at the moment in talking period, but we want to write down an agreement fixing the t&c. Problem, I have no clue how to approach this subject and what content should be written down.

Does anyone has experience or can suggest a professional who could help?
